Terms of Service
These are the rules for using OpenLoop. They are short and written plainly. Please read them, especially section 5, before you connect your Instagram account.
1. The agreement
This is an agreement between you and CloseLoopDM LLC ("we", "us"), a company registered in New Mexico, USA. By creating an account, installing the extension or using the dashboard, you accept these terms and our Privacy Policy. If you do not agree, do not use OpenLoop.
2. Who can use it
- You must be 18 or older.
- You must use an Instagram account that you own or are authorised to run.
- OpenLoop is a business tool. It is meant for coaches and businesses reaching out to potential clients, not for personal use.
3. What we provide
OpenLoop is a Chrome extension, a private dashboard and a hosted server instance that together send Instagram direct messages, follows and likes to the audiences you choose, at the pace you set. We may add, change or remove features at any time. We will try to give notice of changes that affect how you work.
4. Your account
Keep your dashboard password and extension key private. Anything done through your account or your extension is your responsibility, whether or not you did it yourself. Tell us at once if you think someone else has access.
5. Instagram, and the risk you take
Read this part carefully. OpenLoop works by automating actions inside your own logged-in Instagram session. Instagram's terms of use restrict automated activity. Instagram may, at its sole discretion, limit, suspend or permanently disable accounts it believes are automated, and it may change how its site works at any time without notice.
By using OpenLoop you accept that risk. You agree that:
- you alone decide who OpenLoop contacts, what it sends and how often;
- you are responsible for how your Instagram account is used and for complying with Instagram's terms;
- we are not liable for any restriction, suspension, loss of access, loss of followers or loss of business that results from Instagram's response to activity on your account;
- we do not promise that OpenLoop will keep working if Instagram changes its site.
OpenLoop paces its actions to look like a person and lets you set limits. Those are tools to reduce risk, not a guarantee.
6. Acceptable use
You must not use OpenLoop to:
- send spam, or messages that are misleading, deceptive or fraudulent;
- harass, threaten or abuse anyone, or send unlawful, hateful or sexually explicit content;
- contact people you know or should know are under 18;
- collect data about people for resale or for any purpose other than your own outreach;
- break the law, or infringe anyone's rights;
- copy, reverse-engineer, resell or share access to OpenLoop, or try to overload, probe or interfere with it.
If you break these rules we may suspend or terminate your account immediately and without refund.
7. Your content and data
You own the messages you write, the audiences you build and the data OpenLoop collects for you. You give us the right to store and process that data only so far as needed to run OpenLoop for you and to support you. Our Privacy Policy explains what we collect and how we handle it, and forms part of these terms.
8. Third-party services
OpenLoop relies on services we do not control: Instagram, Railway (hosting), Dodo Payments (billing), and, if you enable AI drafting, OpenAI or Anthropic using your own API key. If you link CloseLoop, that product is also ours and covered by these terms. Each third-party service has its own terms, which apply to your use of it. We are not responsible for their availability, changes or actions.
9. Payment
- OpenLoop is sold as a subscription, billed through Dodo Payments. The price and billing period are shown at checkout.
- You can cancel at any time from the dashboard. Your access continues until the end of the period you have already paid for.
- All payments are final. We do not offer refunds, in full or in part, including for unused time, for features that stop working because Instagram changed, or for accounts Instagram restricts.
- We may change prices with at least 30 days' notice by email. The new price applies from your next billing period.
10. No guarantees
OpenLoop is provided "as is" and "as available". We do not promise any level of uptime, any number of messages, replies, followers or clients, or that it will be free of errors. Instagram can change at any moment and break features until we catch up. To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose.
11. Limit of liability
To the fullest extent the law allows, CloseLoopDM LLC will not be liable for any indirect, incidental, special or consequential loss, including lost profits, lost clients, lost data or loss of an Instagram account. Our total liability to you for anything arising out of OpenLoop is limited to the amount you paid us in the three months before the claim.
12. Ending the agreement
You can stop using OpenLoop and cancel at any time. We can suspend or terminate your account immediately if you break these terms, or for any other reason with 30 days' notice by email. After termination we delete your server and data as described in the Privacy Policy.
13. Governing law
These terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in New Mexico, and you agree to their jurisdiction.
14. Changes to these terms
If we change these terms we will update the date at the top of this page, and email you if the change is material. Continuing to use OpenLoop after a change means you accept the new terms.
